1. DEFINITIONS

When used in this Agreement, the following terms shall have the respective meanings indicated, such meanings to be applicable to both the singular and plural forms of the terms defined:

"Licensor" means JoyBidder.com.

"Software" means (a) all of the contents of the files, disk(s), CD-ROM(s) or other media with which this Agreement is provided, including but not limited to ((i) registration information, i.e. License key which is unique for a registration name of the Licensee; (ii) related explanatory written materials or files ("Documentation"); and (iii) Software setup files and code samples (if any); and (b) upgrades, modified versions, updates, additions, and copies of the Software, if any, licensed to the Licensee by JoyBidder.com (collectively, "Updates").

"Use" or "Using" means to access, install, download, copy or otherwise benefit from using the functionality of the Software in accordance with the Documentation.

"Licensee" means you, unless otherwise indicated.

"Computer" means an electronic device that accepts information in digital or similar form and manipulates it for a specific result based on a sequence of instructions.

2. GENERAL USE

This is not free software. Subject to the terms below, you are hereby licensed to use this software for evaluation purposes without charge for a period of 30 days. If you use this software after the 30 day evaluation period a product registration fee is required. When registration payment is received you will be sent a registration code, and will be entitled to free upgrades for one year. After one year, if you want to continue using the software, you need to pay the annual license renewal fee each year. UNDER NO CIRCUMSTANCES MAY REGISTERATION CODE, OF/FOR JoyBidder BE DISTRIBUTED. DOING SO MAY CAUSE YOUR REGISTRATION CODE TO BE INVALIDATED IN FUTURE RELEASE AND INVALIDATED REGISTERATION CODE WILL NOT BE REISSUED FOR ANY REASON.

JoyBidder.com reserves the right to revoke any or all distribution rights at any time, for any or no reason.

All rights of any kind in the Software which are not expressly granted in this License are entirely and exclusively reserved to and by the Licensor. The Software is protected by applicable national and international laws and treaties. the Licensee may not rent, lease, sublicense, modify, translate, reverse engineer, decompile, disassemble, or create derivative works based on, the Software, in whole or in part, nor permit anyone else to do so. The license granted hereunder includes no rights in or to the source code version of the Software.

3. WARRANTY DISCLAIMERS

The Software, and any and all accompanying files, data and materials, are distributed and provided "AS IS" and with no warranties or support of any kind, whether express or implied, including, without limitation, any warranty of merchantability or fitness for a particular purpose.

Neither JoyBidder.com nor any of its affiliates or licensors warrant, guarantee, or make any representations regarding the use of, or the results of the use of, the Software. Neither JoyBidder.com nor any of its affiliates or licensors warrant that the operation of JoyBidder will be uninterrupted or error-free. the Licensee acknowledge that good data processing procedure dictates that any program, including JoyBidder, must be thoroughly tested with non-critical data before there is any reliance on it, and the Licensee hereby assume the entire risk of all use of the copies of the Software covered by this License. This disclaimer of warranty constitutes an essential part of this License.

4. LIMITATION OF LIABILITY

In no event will the Licensor or its suppliers be liable for any damages, claims or costs whatsoever or any consequential, indirect, incidental damages, or any lost profits or lost savings, even if the Licensor has been advised of the possibility of such loss, damages, claims or costs or for any claim by any third party.

In no event will the Licensee be liable to the Licensor on condition that the Licensee complies with all terms and conditions stated in this License.

In addition, in no event does the Lisensor authorize the Licensee or anyone else to use the Software in applications or systems where the Software's failure to perform can reasonably be expected to result in a significant physical injury, or in loss of property, or loss of life. Any such use is entirely at the Licenseer own risk, and the Licensee agree to hold JoyBidder.com, its affiliates or licensors harmless from any and all claims or losses relating to such unauthorized use.
